The Future of Investor Relations is Already Here

The team at Alpha IR came away from the National Investor Relations Institute’s (NIRI) Annual Conference in Chicago with the firm belief that IR leaders must evolve alongside the rapidly changing capital markets. Below are our six key takeaways for today’s IRO:

#1: Smarter Regulation Supports Stronger Markets

Keynote speaker SEC Chairman Paul Atkins remarked that bureaucracy, costs, and regulatory complexities keep companies out of the public markets. At Alpha, we couldn’t agree more; the burdens of financial reporting and weaponization of corporate governance are problematic.

Chairman Atkins believes investors should know what they’re voting on, and proxy advisory firms are not the arbiter of good decisions. While Alpha supports shortening the 45-day reporting 13F requirement for all filers, the SEC made it clear 13Gs and 13Ds are their priority.

#2: Retail Investors Do Matter

Alpha believes all companies need some retail investor engagement, and not every concept will work for every company, but they are valuable during a contentious proxy. IR and PR teams need to work together to reach this audience with consistent communications.

Below are a few ideas to engage retail holders:
• Publish a shareholder newsletter
• Simplify your investment thesis
• Use video and visuals to explain your business
• Use social media
• A smart PR program complements your IR program

#3: Any Investor Could be an Activist

You can be friendly with your investors, but they are not your friends. Any investor can become an activist. Having Alpha IR’s Shareholder Preparedness and Vulnerability Analysis is critical.

If the best defense is a good offense, consider adding the following to your playbook:
• Every meeting should discuss strategic rationale – why this now?
• Pay attention to nuances and clues.
• Investors’ questions should be addressed in your investor presentation.
• Ignoring an investor doesn’t make them go away, it emboldens them.
• Ask investors questions.

#4: Transparency Builds Credibility

While semi-annual reporting may happen, demand for financial transparency is mounting. Buysiders view annual guidance as a vote of confidence from management on the strategy and opportunities. It is critical for less visible corporates and turnaround stories to publish annual guidance to stay on investors’ radars.

#5: AI is Pushing ESG Aside

In Alpha’s conversations with investors, ESG remains important for European investors, but most U.S.-based funds find it to be a burden.

AI for IR is an evolving concept, with new use cases daily. For example, activists send AI-written letters within minutes of your filing. IROs use it to review materials for consistency and tonality. At Alpha we believe the market’s reliance on AI will force IROs to adapt real time.

#6: Tokenization is Coming

The creation of tokenized shares will transform the stock market; enabling faster movement between buyers and sellers, and we like the idea of tokens in IPOs. The SEC approved NASDAQ hosting two trading sessions which will likely go into effect in December.

What do 23-hour trading days mean for IR teams? Larger organizations will need to navigate time zones and breaking news. There have been few milestones since the creation of the SEC that will have this much impact on how stocks are traded in the U.S.
